SERVICES PROVIDED BY LANDLORD

Landlord provides: HVAC (8:00 AM–8:00 PM daily), general lighting electricity, common area water/sewage, janitorial/trash pickup, shared Wi-Fi, and conference room access. Landlord is not liable for temporary service interruptions beyond its control.

USE, ALTERATIONS & PROPERTY CONDITION

Permitted Use: General office, customer service, retail, or professional practice in compliance with all laws.

"As-Is" Acceptance: Tenant accepts the Premises in "as-is" condition.

Alterations: No interior, exterior, or structural alterations or signage may be made without Landlord’s prior written consent. Approved alterations become property of Landlord upon lease end unless removal is required at Tenant’s expense.

Surrender: Tenant must surrender the Premises broom-clean and in good order, repairing any removal damage.

Tenant Liability: Tenant is responsible for damage to the Property caused by Tenant's acts or neglect. Personal property is stored at Tenant’s sole risk; Landlord is not liable for leaks, negligence, or injury.

ADA & Building Laws: Landlord warrants compliance with applicable building codes and the Americans with Disabilities Act (ADA).

RULES, POLICIES & POLICIES (POLICIES & PROCEDURES)

Add your Tenant covenants and agrees to strictly adhere to the following building policies:

Smoke-Free Policy: Smoking is strictly prohibited inside the Premises, Building, and common areas. Smoking is permitted outdoors only at least 100 feet from entrances.

General Nuisance & Conduct: No objectionable noise, odors, or audio/visual broadcasts outside the Premises. No sleeping or lodging permitted.

Common Areas: Keep corridors, stairways, entrances, and parking free from obstructions, signs, or stored merchandise.

Floor Loads & Moving: Safes/heavy items require Landlord location approval. Furniture moves must occur at times designated by Landlord.

Hazardous Materials: No storage, generation, or disposal of toxic or hazardous substances.

Trash & Bulk Removal: Garbage must be kept in designated receptacles. Tenant is solely responsible for move-in/move-out bulk trash removal costs. No automatic disposals may be installed without consent.

Conference Room Use: Free usage up to 4 times per month (M–F, 8:00 AM–4:00 PM) booked at least 5 days in advance via Office Manager (Alex Barthé: 850-791-4517). Cancellations require 3 business days' notice. Tenant supplies AV equipment/supplies, cleans up after use, and pays for any damages caused.

Internet Usage: Shared bandwidth provided on an "as-is" basis without warranties. Tenant is responsible for internal network equipment and data security. Excessive bandwidth usage, commercial hosting/reselling, illegal activity, or ISP policy violations may result in immediate termination of service. Tenant indemnifies Landlord against claims arising from internet use.

CASUALTY, CONDEMNATION & LIENS

Casualty: Rent prorates if the Premises are rendered uninhabitable by fire or casualty. Landlord may terminate within 30 days if damage is substantial.

Eminent Domain: Condemnation results in rent abatement; total taking terminates the Lease with no claim against Landlord.

Liens & Subordination: Tenant shall not permit mechanics' liens against the Property. This Lease is subordinate to all existing and future mortgages. Tenant agrees to execute estoppel certificates/attornments within 20 days of request.

DEFAULT & REMEDIES

Events of Default: Failure to pay rent within 5 days of due date; failure to cure other defaults within 10 days of notice; abandonment; or bankruptcy/insolvency proceedings.

Landlord Remedies: Landlord may terminate the Lease, re-enter, relet the Premises as Tenant's agent (holding Tenant liable for deficiencies, reletting costs, and legal fees), collect 4% interest on back rent, and pursue all Florida statutory remedies.

Attorney Fees: The prevailing party in any action to enforce this Lease recovers all reasonable costs and attorney fees (trial and appellate).

MISCELLANEOUS & MANDATORY STATUTORY NOTICES

Holdover: Holding over after expiration creates a month-to-month tenancy at sufferance.

Radon Gas Advisement (Fla. Stat. § 404.056(8)): "RADON GAS: Radon is a naturally occurring radioactive gas that, when it has accumulated in a building in sufficient quantities, may present health risks to persons who are exposed to it over time. Levels of radon that exceed federal and state guidelines have been found in buildings in Florida. Additional information regarding radon and radon testing may be obtained from your county public health unit."

Jury Trial Waiver: LANDLORD AND TENANT EACH EXPRESSLY WAIVE TRIAL BY JURY IN ANY ACTION ARISING OUT OF THIS LEASE.
